Terms of Service

These Terms of Service ("Terms") govern your use of the Sellmetrics platform ("Service") operated by Sellmetrics LLC ("Company," "we," "us," or "our"). By creating an account or using the Service, you agree to these Terms.

1. Service Description

Sellmetrics is a multi-platform e-commerce profitability tracking tool. The Service connects to third-party marketplace APIs (including Amazon Seller Central and Walmart Marketplace) using credentials you provide, retrieves your sales, fee, return, and inventory data, and calculates profitability metrics on your behalf.

The Service is a data analysis tool. We do not buy, sell, or fulfill products on your behalf, and we do not take any actions within your marketplace accounts other than reading data you have authorized.

2. Account Registration

To use the Service, you must create an account with a valid email address and password. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

You must be at least 18 years old and have the legal authority to enter into these Terms. If you are using the Service on behalf of a business, you represent that you have the authority to bind that business to these Terms.

You agree to provide accurate, current, and complete information during registration and to update such information as necessary.

3. Third-Party API Credentials

To use the core features of the Service, you must provide API credentials for one or more marketplace platforms (e.g., Amazon SP-API keys, Walmart API keys). By providing these credentials, you represent and warrant that:

• You are the authorized owner or administrator of the associated marketplace seller account.
• You have the right to grant the Service read access to your marketplace data.
• Your use of the Service complies with the terms of service of the applicable marketplace platform (Amazon, Walmart, etc.).

You may disconnect your marketplace credentials at any time through the Settings page, which will immediately delete the stored encrypted credentials from our systems.

4. Data Usage and Ownership

Your data belongs to you. All business data retrieved from your marketplace accounts (orders, fees, returns, inventory, settlements) remains your property. We do not sell, share, or provide your business data to any third party.

We use your data solely to:

• Display profitability dashboards, metrics, and reports to you.
• Calculate KPIs including revenue, profit margins, fees, and return rates.
• Store historical data so you can view trends over time.

We may use aggregated, anonymized, non-identifiable data (e.g., total number of users, average data pull times) for internal analytics and service improvement. This data will never identify you or your business.

5. Acceptable Use

You agree not to:

• Use the Service to access marketplace data you are not authorized to view.
• Provide credentials belonging to another seller without their explicit written consent.
• Attempt to circumvent security measures, reverse-engineer the Service, or interfere with its operation.
• Use the Service for any unlawful purpose or in violation of any applicable marketplace terms of service.
• Share your account credentials with others or allow unauthorized access to your account.
• Use automated tools to scrape, overload, or abuse the Service.

6. Service Availability

We strive to maintain reliable uptime but do not guarantee uninterrupted access to the Service. The Service may be temporarily unavailable due to:

• Scheduled maintenance (we will provide advance notice when possible).
• Third-party API outages or rate limiting by Amazon, Walmart, or other platforms.
• Infrastructure issues beyond our reasonable control.

Data pulls from marketplace APIs are subject to the availability and rate limits imposed by those platforms. Occasional delays or partial data pulls are normal and expected.

7. Accuracy of Calculations

We make reasonable efforts to ensure the accuracy of profitability calculations, KPIs, and reports displayed on the Service. However:

• Calculations depend on data provided by third-party marketplace APIs, which may contain errors, delays, or omissions.
• Settlement timing differences may cause short-term discrepancies between reported and actual profit figures.
• Estimated fees (such as Walmart estimated fees for unsettled orders) are approximations and may differ from final settled amounts.

The Service is not a substitute for professional accounting or tax advice. You should verify important financial figures independently and consult a qualified accountant or tax professional for official financial reporting.

8. Account Suspension and Termination

We reserve the right to suspend or terminate your account if you violate these Terms or engage in conduct that is harmful to the Service, other users, or third parties. We will make reasonable efforts to notify you before or at the time of suspension.

You may terminate your account at any time by contacting us. Upon termination, we will delete your stored credentials and business data within 30 days, unless retention is required by law.

9. Intellectual Property

The Service, including its design, code, features, and documentation, is the property of Sellmetrics LLC and is protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes.

Amazon, Walmart, and other marketplace names and trademarks are the property of their respective owners. Sellmetrics LLC is not affiliated with, endorsed by, or sponsored by Amazon.com, Inc. or Walmart Inc.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SELLMETRICS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

You acknowledge that marketplace API access and data accuracy are dependent on third-party systems outside our control, and we bear no responsibility for errors, outages, or changes in those third-party systems.

11. Indemnification

You agree to indemnify and hold harmless Sellmetrics LLC, its officers, employees, and agents from any claims, liabilities, damages, or expenses (including reasonable attorney fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights or marketplace terms of service.

12. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on the Service and updating the "Last updated" date. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

13. Governing Law

These Terms are governed by the laws of the State of the Company's principal place of business, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the courts of that jurisdiction.
